Rachael has more than 6 years of experience as a corporate lawyer. Her areas of practice encompass equity capital markets, mergers and acquisitions, international business reorganisations and general corporate matters. She also regularly advises Singapore listed companies on the rules of the Singapore stock exchange.

As part of her practice, Rachael has advised clients from various industries, including consumer markets, oil and gas, mining, cybersecurity and technology, consulting, real estate and early childhood care and education.

Rachael graduated from the National University of Singapore with a Bachelor of Laws (Honours) and is admitted to the Singapore Bar.

Rachael’s key experience includes:

• Acted for Vertex Venture Holdings Limited in the landmark listing of the first SPAC on the SGX-ST Mainboard, Vertex Technology Acquisition Corporation Ltd; and for Vertex Technology Acquisition Corporation Ltd in its business combination with 17LIVE Inc., the first de-SPAC on the SGX-ST Mainboard.
• Advised Rex International Holding Limited on the spin-off of its commercial drone business by way of a reverse takeover and listing of its subsidiary on the Sweden Spotlight Stock Market.
• Advised a global early education group in its acquisition of the business and assets of a preschool network in Singapore.
• Acted for YCP Holdings (Global) Limited in its acquisition of several consulting firms, including (a) Auctus Advisors Private Limited, a consulting firm based in India; (b) Consus Global, a global procurement and supply chain solutions provider; and (c) Renoir Holdings Pte. Ltd., a consulting firm with operations across Asia, the Americas and Europe.
• Advised various SGX-ST Mainboard and Catalist-listed issuers on a broad range of regulatory and compliance matters, including continuing disclosure obligations and market announcements.
• Advised a global provider of secure payment solutions and biometric identification solutions on its business and share transfers as part of a corporate reorganisation spanning across 25 jurisdictions.
• Advised a multinational food conglomerate on its corporate reorganisation, particularly in relation to the establishment of a company in Singapore and compliance with the Singapore Companies Act.
• Advised a diverse portfolio of multinational corporations (including companies in the pharmaceutical, FMCG, F&B and consumer electronics industries) on a broad spectrum of general corporate and commercial matters, including drafting and reviewing intercompany agreements and internal compliance policies and advising on lease agreements.
